BOARD CHANGES

The Company is pleased to announce that Paul Wilkinson, its current Senior Independent Director, will succeed John von Spreckelsen as Chairman upon his retirement from the Board on 1 February 2013. Keith Edelman, Non-Executive Director, will succeed Paul Wilkinson as Senior Independent Director on the same date.

Thorntons PLC is also pleased to announce the appointment of Martin George as an independent Non-Executive Director with effect from 1 November 2012.

Martin is currently Group Development Director at Bupa and has previously held a number of senior positions at British Airways latterly as Commercial Director. He has extensive experience in consumer brand development as well as commercial and general management.

There are no other matters requiring disclosure under Listing Rule 9.6.13.

John von Spreckelsen, Thorntons' Chairman, said:

"We are looking forward to welcoming Martin to the Board. Martin has extensive experience in the marketing and commercial development of consumer brands and we look forward to his future contribution.

"This time last year I announced my intention to retire from the Board. The Board has now asked me to remain in role until February 2013 after which Paul Wilkinson, currently the Senior Non-Executive Director, will succeed me as Chairman. Paul has both significant knowledge and understanding of Thorntons, gained not least through his six years as Non-Executive Director, and considerable FMCG and Board experience. I am confident that he will do an outstanding job as we continue to progress our strategy."
