    ("ThinkSmart" or the "Company"   which together with its subsidiaries is the "Group") 

Implementation of Scheme of Arrangement

ThinkSmart (AIM: TSL) is pleased to announce that the scheme of arrangement between ThinkSmart and its shareholders has been implemented today, 2 December 2022. Accordingly, ThinkSmart advises that the entire share capital of ThinkSmart, comprising 107,693,483 shares, is now owned by Tuscan Equity Pty Ltd ("Bidco").

Cancellation

As previously announced, trading in ThinkSmart shares on AIM was suspended from 7.30am (London time) on 23 November 2022. Following the application by ThinkSmart to the London Stock Exchange, the cancellation of the admission to trading on AIM of ThinkSmart shares is expected to be effective as of 7.00am (London time) on 5 December 2022.

Following which, no further announcements will be made by the Company through the regulatory news service, however ThinkSmart may provide updates, as appropriate, on its website at www.thinksmartworld.com relating to the sale of the Block Sale Shares and payment of the Cash Consideration.

Cash Consideration

The Cash Consideration will be paid to shareholders on the terms set out in the Scheme Booklet dated 24 October 2022.

Timetable

The indicative timetable for the key outstanding milestones under the Scheme remains as set out on pages 14 to 16 of the Scheme Booklet and is also set out below.
