OFFER DECLARED UNCONDITIONAL IN ALL RESPECTS

Further to Sages announcement on 6 April 1999 and following 
admission to the Official List of the new Sage Shares which were 
issued pursuant to the Offer, Sage is declaring the Offer 
unconditional in all respects.  The Offer will remain open for 
acceptance until further notice.

Proposals to holders of options over Tetra Shares are being posted 
today.  Holders of options over Tetra Shares who wish to take 
advantage of the Mix and Match Election facility should do so 
before the facility is closed at 3.00 p.m. on 14 April 1999.  Any 
holder of options over Tetra Shares who does not for any reason 
receive his or her proposals by 9 April 1999 should contact the
