11 November 2015
TELECITY GROUP PLC
TelecityGroup Update on Recommended Transaction with EquinixThe ratio has been revised such that each TelecityGroup shareholder will be entitled to receive:

For each TelecityGroup share: 572.5 pence in cash; and
0.0336 New Equinix Shares
There is no further update on the Offer at this stage.
---------------------------------------------------------

My sums: 1 * 572.5
Equinux share price (old/new not sure?) = $297.54 (* .66) = £196.38 * .0336 = £6.60
Total £12.325
TCY share price today £11.91

Upside premium post meger: 3.48%

I am unsure my equinix share price above is the "new/adjusted" sp, but 3.48% upside looks about right.
My own calcs, DYOR :-)

A merger with a same size company (TCY are bigger on revenue and EPS) makes the results kinda less crucial. In the statement they say EPS will be neutral in Year 1- as INterXion have over EPS than TCY this could mean EPS for next year flat against this year - I don't know. THe share buy back will increase EPS by a bit though " broadly earnings neutral to TelecityGroup shareholders in the first full year of the combined group and earnings accretive thereafter". Interesting!

I don't beleive this will affect TCY like others because TCY is not widely held by PIs, its an II stock.

Is OUT a potential bid target for TCY I wonder. Its would seem like a diversion to me, could it fit into Cloud IX. Any thoughts out there ?

Thanks for that. MArgins are a concern but all three reviews acknowledge the market is growing and Europe is growing for TCY faster than the UK, and margins are ok in Europe. If they don't spend money they'll be accused of head-in-the-sand in regard ot the competition; I thnk the balance is hard to strike but overall they are doing fine, and I agree (for once !) with IC and will 'hold'

Two of my holdings report ints. today.

TCY profits up 9pc, shares down 5pc

HSBA profits down 12pc, shares up 3pc.

Now I know i'm thick....

I didn't just mean the chart per se but the daily trading patterns show mainly activity from day traders attracted by the relatively tight spreads. Good liquidity and no sign of upward pressure coupled with the recent undulation makes me think the market has settled on this price and therefore it is a fair price despite the research consensus tending towards buy/overweight.

Longer term TCY need to show they are more than just right business at right time. Eg maximising property leverage - with property prices rocketing (yes I know not all of Europe affected same way and TCY have a good geographic spread) and connectivity improvements making latency less of an issue - or rather making location less of an issue even for those who demand low latency - competition in this sector from new entrants with mainly rural data centres on cheaper land (small players such as Timico getting investment to move from ISP to hosting, 2 DCs and counting I think...)

Anyway, do I think this might top £10 again? Yes, hopefully. But I just don't see signs right now of it happening or even starting to zoom. But that doesn't make this a bad one to hold or get in now because I think it has far greater chance of rising than falling, all just my personal opinion, usual disclaimers apply, DYOR etc, etc.
