On 23 January 2004 the Innovation Group plc received the following notification:

DISCLOSURE UNDER SECTION 198 OF THE COMPANIES ACT

As part of our obligation under section 198 of the companies Act I hereby notify
you that Cantor Fitzgerald Europe has an interest in and is the registered
holder of 85,741,000 ordinary shares in The Innovation Group Plc as at January
22, 2004.

Cantor Fitzgerald Europe is party to an agreement to which section 204 applies. 
The other party to the agreement is ICE SAS of 54-56 Avenue Hoche, Paris 75008,
France.  The agreement with ICE SAS is in respect of 65,700,000 of the
85,741,000 ordinary shares of The Innovation Group Plc referred to above.
