On 8 December 2003 The Innovation Group plc received the following notification:

'This notification relates to the issued ordinary shares of 2p each in the
capital of the Innovation Group plc or (the "company") and is given in
fulfillment of the obligations imposed by Sections 198 to 202 of and otherwise
by Part IV of the Companies Act 1985 (the "ACT").

1. ICE SAS ("ICE") and Cantor Fitzgerald Europe of One American Square London
   EC3N 2LS are each a party to an agreement (the "Agreement") to which section 
   204 or section 208 of the Act applies.

2. ICE has increased its holding in the Company by 4,000,000 shares or 0.95%
   with a purchase of 1,000,000 shares on Monday 1st of December 2003 and a 
   further purchase of 3,000,000 shares on Friday 5th of December 2003.

3. ICE as a party to the Agreement is interested for the purpose of sections 198
   to 202 of the Act and/or by virtue of Sections 204 and 205 or 208 of the Act 
   in 45,000,000 shares or 10.7% holding in the Company.

4. The registered holder of these shares is Cantor Fitzgerald Europe.

5. ICE is a company registered in France (registration number B 444 486 666) at
   54-56 Avenue Hoche, Paris 75008.'
