Board Changes, Progress Update and Change of Registered Office





SysGroup plc (AIM:SYS), the technology partner for delivery and management of cloud, data and security to power Artificial Intelligence ("AI") and Machine Learning ("ML") transformation, announces a change to its Board of Directors, provides a progress update and notification of change of Registered Office.

Board Change - Chief Financial Officer

The Board is delighted to announce the appointment of Owen Phillips as the Chief Financial Officer and as a director of the Company. After five years' service, Martin Audcent has decided to step down from his role as Chief Financial Officer and member of the Board to pursue other interests. These changes will take effect on 11 March 2024 and Martin will continue to support the business until 30 June 2024 to ensure a smooth transition.



Owen currently serves as a Director in the finance function at Matillion Limited. Headquartered in Manchester, the company is a leading provider of cloud data integration tools and one of only a handful of Manchester tech unicorns, with a valuation of $1.5 billion at the last funding round. Previously, Owen held various financial management positions in the data/tech sector as well as working in professional practice at Grant Thornton UK LLP.



Progress Update



The Company has performed well during the third quarter with double digit revenue growth versus comparable period last year. We continue to build strong revenue pipeline as the new sales organisation is embedded. The AI/ML offerings are gaining momentum with a pipeline of opportunities with both new and existing customers. We have already signed our inaugural AI/ML engagement to support a drug discovery company on their AI data journey. We have also recently concluded a three-year agreement valued at over £500,000 to deliver a market-leading security solution to a public sector organisation via G-Cloud Framework. The full value of the contract will be recognised in the fourth quarter.



Closing of Liverpool Office and Change of Registered Office



The Company's Liverpool office will be closing at the end of February when its lease expires, and with effect from 1 March 2024 the Company's Registered Office will be 55 Spring Gardens, Manchester M2 2BY.

tb, It's pretty obvious that changes at the top will have left a number of ex-management holding shares, which are likely to be sold in a tax efficient manner.

Price has now hit the top of the recent support zone, so may well find some traction. My chart shows a possible turn date today/tomorrow, but these apex based turns are not especially reliable in low volume environments.

In addition, after more than a six-year tenure, Mark Quartermaine, Non-Executive Director, will step down from the Board with immediate effect.

Mark Reilly is currently Managing Partner, Technology at IP Group plc. Mark was previously a non-executive director at Actual Experience plc and Mirriad Advertising plc. He has overseen more than 200 private and public company venture transactions and has over a decade of experience sitting on technology company boards. He was a board member of Wave Optics when it was sold to Snap Inc for over $500m and led the first investments into several of the UK's most exciting Deep tech start-ups. Mark holds a PhD in Engineering from Cambridge University.

The Company holds 2,561,394 ordinary shares of one penny each (£0.01) in treasury and there are no restrictions on the transfer of the Company’s securities. Therefore, the total number of voting rights in SysGroup PLC is 48,934,690 and this number shall be the denominator for shareholders to calculate if they are required to notify their interest.

The company intends to hold these shares that were bought from the retiring CEO for the long term, to be used to fulfill options and other corporate obligations.

" In respect of Adam Binks' departure, the Board has agreed that the 826,394 unvested options granted to Adam Binks under the Company's 2020 LTIP Scheme may vest with immediate effect with all restrictions on all his options waived. Adam Binks has agreed to immediately exercise all his options granted under the 2018 and 2020 LTIP schemes, totalling 2,076,394 ordinary shares of 1p each ("Ordinary Shares"). Adam Binks has further agreed to sell, and the Company has agreed to buy, a total of 2,076,394 Ordinary Shares at a price of £0.375 per Ordinary Share.
