Grant and vesting of awards

At the Annual General Meeting of the Company held on 19 March 2019 ("AGM"), shareholders approved the adoption and establishment of the Sureserve Group plc Special Incentive Award Plan 2019 ("SIAP"). The SIAP was subsequently adopted by resolution of the Board of Directors on 9 May 2019.

In May 2019, Bob Holt was granted an award under the SIAP in the form of an option to acquire ordinary shares of 10 pence each in the capital of the Company ("Ordinary Shares "), subject to the performance and vesting conditions of the SIAP.

In addition, at the AGM, the grant of an award under the SIAP in the form of an option to acquire Ordinary Shares was approved in respect of the incoming Chief Financial Officer. Peter Smith was appointed to the role of Chief Financial Officer on 29 July 2019 and is contractually entitled to such award, subject to conditions that have now been met.

Peter Smith has therefore been granted an award under the SIAP in the form of an option to acquire Ordinary Shares, subject to the performance and vesting conditions of the SIAP.

The awards granted to Bob Holt and Peter Smith under the SIAP have now vested, following the satisfaction of the performance and vesting conditions. After the application of the performance conditions, the award made to Bob Holt is capable of exercise in respect of 860,874 Ordinary Shares and the award made to Peter Smith is capable of exercise in respect of 193,676 Ordinary Shares.

The awards are now exercisable at nil cost for a period of six months ending on 16 May 2021.
