Trading Update and Acquisition Update

 

STM Group Plc (AIM: STM), the cross border financial services provider, announces a trading update for the 12-month period to 31 December 2023 (FY23), based on unaudited management accounts, and provides an update on the recommended acquisition (the "Acquisition") by Jambo SRC Limited ("Jambo").

Trading Update

The Company is pleased to report that the Group's revenue for 2023 is £28.0 million, ahead of market expectations, as a result of higher than forecasted interest income. As stated within the Scheme document dated 7 November 2023 relating to the Acquisition, the Company has incurred certain Acquisition related costs, and in addition to these the Group has also incurred a further £0.7 million of exceptional costs. These exceptional costs relate to the write down of certain non-cash items relating to the disposals of the companies and trust services subsidiaries in 2021. As such, the Board expects to report that its overall performance for FY23 is in line with its previous expectations, excluding the impact of the Acquisition related costs.

Update on the Acquisition

The regulatory change of control applications made by Jambo in relation to its acquisition of the Company and Pathlines Holdings Limited in relation to its acquisition of the SIPPS Companies continue to progress. The expected timetable of principal events remains as set out on pages 9 and 10 of the Scheme Document dated 7 November 2023, with a long stop date of 28 May 2024.

Additional Information for US Investors

The Acquisition is being made to acquire the securities of an Isle of Man company by means of a scheme of arrangement provided for under Part X of the Companies Act. A transaction effected by means of a scheme of arrangement is not subject to the proxy solicitation or tender offer rules under the US Exchange Act. Accordingly, the Scheme will be subject to disclosure requirements and practices applicable to schemes of arrangement involving a target company incorporated in the Isle of Man admitted to trading on AIM, which are different from the disclosure requirements of the US under the US proxy solicitation and tender offer rules. The financial information included in this Announcement and the Scheme documentation has been or will have been prepared in accordance with accounting standards applicable in the Isle of Man and the UK and thus may not be comparable to financial information of US companies or companies whose financial statements are prepared in accordance with generally accepted accounting principles in the US.
