("Sterling Green" or the "Company")
Circular re: General Meeting
The Company announced on 24 December 2007 the placing of 22,000,000 new
ordinary shares of 0.1p each (the "Placing Shares") at 2.5p per share (the
"Placing Price") (the "Placing"). The Placing is conditional upon the Placing
Shares being admitted to trading on AIM, a market operated by the London Stock
Exchange plc ("AIM"). Application has been made for the Placing Shares to be
admitted to trading on AIM and it is expected that dealings in the Placing
Shares will commence on AIM on 4 January 2008. The Placing Shares will, when
issued, rank pari passu in all respects with the existing ordinary shares of
0.1p each in the Company ("Ordinary Shares").
The issue and allotment of the Placing Shares will utilise the majority of the
authority of the directors of the Company (the "Directors") to issue and allot
Ordinary Shares on a non pre-emptive basis. To provide the Directors with
flexibility for the future a general meeting of the Company, on 21 January
2008, has been convened to seek the grant of the relevant authorities to issue
and allot Ordinary Shares.
Copies of the document have been posted to shareholders today and further
copies will be available free of charge during normal business hours on
weekdays (excluding Saturdays, Sundays and public holidays) from the offices of
John East & Partners Limited and on the Company's website
www.sterlinggreen.co.uk.
