         Director Shareholding, Holding in Company, Additional Listing

The Company was informed on 15 December 2002 that, in the placing announced on 8
January 2002, Nigel Robertson, Chairman, converted #148,000 of loans to the
Company into 14,800,000 new ordinary shares.

Following completion of the placing Nigel Robertson is interested in 109,159,300
Ordinary Shares, representing 13.2 per cent. of the issued share capital of the
Company.

The Company was informed on 15 January 2003 that Lansdowne Partners Limited
Partnership is interested in 80,000,000 ordinary shares in the Company
representing 9.7 per cent. of the issued share capital of the Company.

Application has today been made for admission of 30,000,000 ordinary shares of
1p each in the Company to trading on the Alternative Investment Market of the
London Stock Exchange. These shares have been issued pursuant to the
capitalisation of loans totalling #300,000.

The shares will rank pari passu with the existing ordinary shares of the
Company. Dealings are expected to commence in the new ordinary shares 22 January
2003.
