All true, if that was PEXAs position I don't see how an acceptable offer would be agreed. Smoove have 10m in cash and not desperate. You need to acknowledge loses were due product development, headcounts are now back down from 130+ to 90+. Econveyancer used by 80% of broker marker. DigitalMove can optimise optima legal. Cost efficiencies are there to be made by combining both businesses. Smoove pivoted successfully to remortgage transactions, those are not going way. Transaction volumes are less but company now has a broader reach whilst waiting for volumes to return. Pexa are trading on a valuation that is 10x their revenue. PE over 100. Valued at over 1billion sterling. They need to show growth to keep their investors happy and keep that valuation intact imo.

Shareprice up by over 50% over the past 2 weeks since rumours started about a possible predator, which was subsequently confirmed on 24 April. Suggests some investors believe that a deal is a likely outcome but that also this might be rerated even if an offer is not forthcoming or is turned down.

What we don’t need is some sort of PE deal where major shareholders somehow get stakes in the acquiring business, or some sort of options and benefit in a few years. That would technically be against various market rules afaik, but these smaller companies are never pursued by authorities.

A straightforward cash offer is ok at the right level, but it guarantees that another promising business disappears from UK and any growth potential is taken away from earlier investors.

This is mostly related to the wobbly banks and financials I would guess. There are 8 investors who own 80 per cent of the company. So it is the 20 percent where the weakness is. Good chance this will go private . Don’t think we will get much of a price for it. Would imagine the bigger investors would be happy to stay on board in that scenario. Shame because it probably will multi bag when the market recovers.probably a 5 year story

Tender Offer to repurchase Ordinary Shares up to £5m at 40p per share

Following the announcement of a proposed tender offer in August 2022, Smoove today announces its intention to repurchase up to 12,500,000 Ordinary Shares at 40p per Ordinary Share ("the Tender Price") amounting to a repurchase of up to £5m ("the Tender Offer"). The Tender Offer is subject to shareholder approval.

The Company expects to post a circular to shareholders on 2 December 2022 with details of the Tender Offer and Notice of General Meeting containing a resolution to repurchase up to 12,500,000 Ordinary Shares (the "Resolution"). The Resolution shall be proposed at the General Meeting which is expected to be convened at 11.00 a.m. on 11 January 2023. A copy of the Circular will be published on the Company's website at the same time at hellosmoove.com/investor-relations.

Structure of the Tender Offer

Up to 12,500,000 Ordinary Shares will be purchased under the Tender Offer, representing approximately 19.3% of the issued ordinary share capital as at 28 November 2022 for a maximum aggregate consideration of £5m. The Tender Offer will be implemented on the basis of Panmure Gordon acquiring, as principal, the successfully tendered Ordinary Shares at the Tender Price. The Company will purchase such Ordinary Shares from Panmure Gordon at the Tender Price. It is expected that most of the repurchased shares will be cancelled with the balance being transferred to treasury.

Only Qualifying Shareholders who hold Ordinary Shares on the Tender Offer Record Date are able to participate in the Tender Offer in respect of those Ordinary Shares. Qualifying Shareholders can decide whether they want to tender all, some or none of their Ordinary Shares in the Tender Offer. The Tender Offer is expected to close at 1.00 p.m. (UK time) on 9 January 2023 and tenders received after that time will not be accepted (unless the Tender Offer is extended). The Tender Offer will be subject to customary conditions, details of which will be set out in the Circular.

I think a lot of investors actually don't bother looking at companies when they are in investing for the future periods. Many end up raising money because the developments take much longer than expected, so shareholders get diluted. Not a problem here.

Also, when a company is making those investments, you have to look hard at the actual business case, to see if its got a following wind, or is actually needed in the market. Of course all BOD's say they've got something special.

A vast amount of processes have gone online - house transactions from start to finish haven't really - apart from the adverts for the houses.

Hopefully I've bought at a reasonable price. Made a mistake with MOON and got in too early after float because that's about the only other business I can find that still has a shed load of growth to come (with online gifting and cards).

There must be others where its entirely logical that they will move online.

No, but we should get something fairly soon after any institutions have had a change to buy in and the analysts have issued their cliches.

"Management will be providing the same presentation and hosting a remote investor Q&A session for retail mushrooms in due course" (investor meet)

Market cap about the same as annual revenue now and a wad of cash sitting doing nothing.

I guess that its not going to recover anytime soon, because I believe housing markets don't pick up until after the end of a recession.

However, they are still building revenue and given the costs are forecast to reduce, it seems a good time to buy. DYOR etc.

Still the only coordinated online facility of its type as far as I know, which presumably is why they have so many decent partners using the platform.
