I don't believe Kestrel, who have around 27%, would be interested in a 40p takeout.

I believe their average buying price must be some way above that and they would probably want to let the development run its course and see the companies sale team pick up more customers to drive it to profitabilty.

I've been holding/trading this for a few years now I wouldn't be happy with 40p either.

If they are careful with their cash hopefully they have enough to get to a profitability and beyond.

It would be nice to see the odd RNS with news of a major client being recruited though.

Well surely it’s the same old story, they will get share options with no risk.

Bear in mind we are in inflationary possibly recessionary times and this share is a few years from profits.

This is mostly related to the wobbly banks and financials I would guess. There are 8 investors who own 80 per cent of the company. So it is the 20 percent where the weakness is. Good chance this will go private . Don’t think we will get much of a price for it. Would imagine the bigger investors would be happy to stay on board in that scenario. Shame because it probably will multi bag when the market recovers.probably a 5 year story

I hope it is just general markets acting on loss making small cap shares. I was a little premature because I have just taken my holding to a full unit. There were two reasons, I thought that the share price would fall after the tender. Although I was wrong initially, it has now and the second was the incentive scheme. I do not think that the target prices would have been set, unless the management thought there are a decent probability that theses would be met. The low target is in round numbers 70% above current level and the higher target 150%, which over a three year period is potentially very attractive.

Kestrel slowly filling their boots again given new headroom to 30% ownership. Small buying pressure from them will lift share price and make their overall holding look better in their portfolio imo

AGM approval was for both tender offer and on market purchase. They won't find many shares available under 40p, this offer gives institutions liquidity to reduce their positions that wouldn't be there otherwise and better for long term holders if some reduce at 40p. Let's see how much out of 5m is left post this tender offer.

I think I’d prefer a special 8p dividend! But for some reason they want to buy shares directly not just do the “normal” share buyback.

Not really sure of the pros and cons of those 2 options

Kestrel have no option but participate if they want to stay under 30% ownership. I don't expect the tender offer to fill the full £5m. Leftover funds they would have to use for on market purchases, or come back with a higher offer. But it's good for long term holders to see how much you can get filled at 40p.

The only thing to circumvent it is sell them at 40p and buy them back at todays price of 36p assuming they stay at 36p or less.Although by the time you include the spread and costs it may not be worthwhile.

That help? I suppose Olliequackers has most of the stock though. Obviously a reduction in shares is a good idea. Would it not be more effective to buy the shares back like any other sane company.hardly call it rewarding shareholders::))

Thanks for the response and yeah I'd be happy to hold for a while longer. I like many others I'd imagine would be selling at a loss if we all accepted it.
