Revised Corporate Actions Announcement

Lagos and London, 2 May 2018: Seplat Petroleum Development Company Plc ("Seplat" or the "Company"), a leading Nigerian independent oil and gas company listed on both the Nigerian Stock Exchange and London Stock Exchange, today announces a revision to its Q1 2018 interim dividend timetable previously announced on the 30(th) April 2018 to amalgamate fully the different notice periods of both exchanges. The following dates have been revised:

 
 --   An Interim Dividend of US$0.05 (United States 
       Five Cents) per Ordinary Share of N0.50k each, 
       (subject to appropriate withholding tax and 
       approval) will be paid to shareholders whose 
       names appear in the Register of Members as 
       at the close of business on 16(th) May 2018 
       (revised from 3(rd) May 2018). 
 --   For reference for all shareholders holding 
       a Depository Interest on the London Stock 
       Exchange, the Associated Record Date will 
       be the 16(th) May 2018 and the Ex-Dividend 
       Date will be the 15(th) May 2018. 
 --   To enable Seplat's Registrar, Datamax Registrars 
       Limited, to prepare for the payment of the 
       interim dividend, the Register of Shareholders 
       will be closed on the 17(th) May 2018 (revised 
       from 4(th) May 2018). 
 --   Shareholders who have the option to elect 
       to be paid their dividends in a currency other 
       than their default currency, must make the 
       election to the Company's registrars by 31(st) 
       May 2018 (revised from 13(th) May 2018), otherwise 
       the dividend will be paid in the default currency. 
 --   The exchange rate for the Naira or pounds 
       sterling amounts payable will be determined 
       by reference to the relevant exchange rates 
       applicable to the US dollar on 16(th) May 
       2018 (revised from 3(rd) May 2018) and will 
       be communicated by the Company on 17(th) May 
       2018 (revised from 4(th) May 2018). 
 --   On or around 8(th) June 2018 (revised from 
       22(nd) May 2018), dividends will be paid electronically 
       to shareholders whose names appear on the 
       Register of Members as at 16(th) May 2018 
       (revised from the 3(rd) May 2018), and who 
       have completed the e-dividend registration 
       and mandated the Registrar to pay their dividends 
       directly into their Bank accounts. 
 

An amended Corporate Actions Form is provided below.

               The default currency for the dividend will depend on whether the 
                shareholder has a Nigerian Certificate for Capital Importation ("CCI") 
                and is determined as follows: 
                 *    Shareholders holding their shares on the Nigerian 
                      Stock Exchange and do not hold a valid CCI will be 
                      paid their dividend in Naira; 
 
 
                 *    Shareholders holding their shares on the Nigerian 
                      Stock Exchange with a valid CCI will be paid their 
                      dividend in US dollars as the default currency. 
                      However, those shareholders may instead elect to 
                      receive their entire dividend payment in Naira 
                      (partial elections are not permissible); and 
 
 
                 *    Shareholders holding their shares through depository 
                      interests on the London Stock Exchange will be paid

                Those shareholders holding their shares on the Nigerian Stock Exchange 
Shareholders    who hold a valid CCI should notify Seplat's Nigerian registrars, 
 options        DataMax Registrars Limited ("DataMax"), of that fact.

               The exchange rate for the Naira or pounds sterling amounts payable
