Acquisition of stake in New Sky Global Media Limited ("New Sky Global")

Sealand Capital Galaxy Limited (LSE: SCGL) is pleased to announce that on 13 May 2019, ecWay (France) Limited ("ecWay France"), a wholly-owned subsidiary of the Company, agrees to subscribe for, and New Sky Global agrees to issue, 120,000 new ordinary shares in New Sky Global for a consideration of HK$120,000. Upon completion, New Sky Global will be 55% owned by the Company.

New Sky Global is a Hong Kong-incorporated digital marketing and advertising firm, providing a full range of global digital marketing strategies. New Sky Global assists merchants and multinational corporations to simply and efficiently target potential customers in different regions, especially in China.

New Sky Global has obtained licenses on the full range of Tencent advertising channels and on mainstream Chinese media with DSP platforms. New Sky Global has also built up strong connections with Chinese social media influencers and KOLs (Key Opinion Leaders). It can also organise digital advertising and marketing campaigns across top tier global media. Its licensed platforms cover over 46 countries and it can also help clients to advertise on Chinese banks', such as Industrial and Commercial Bank of China and Agricultural Bank of China, digital platforms.

Recently New Sky Global signed an overseas partnership agreement with Tenet which is the MCN (Multi-Channel Network) company under GD.QQ.COM. It creates short video productions as well as promotional activities to help clients advertise their brand, products and services on almost all popular short video platforms in China. New Sky Global is able to offer its clients advice on creating bespoke advertising solutions across a multitude of platforms with delivery on a wide range of devices. By creating tailor-made and effective campaigns return on investment is increased.

Services offered by New Sky Global are complementary to those already offered by ePurse, Sealand's wholly owned subsidiary and the acquisition is expected to generate substantial commercial, operational, marketing and customer acquisition benefits to the Company. The synergies between the two companies will enable them to share clients, customer networks, media platforms and other resources. The combined offering will offer clients, typically merchants who target Chinese travellers in Hong Kong, the UK and Dubai, a one-stop-cross-border solution for WeChat Pay, WeChat Official Accounts, and WeChat Advertising as well as access to a wider range of Chinese and western media platforms.
