Issue of Equity

SANNE announces that applications have been made to the FCA and the London Stock Exchange, respectively, for 636,656 Shares (the "Shares") to be admitted to the premium listing segment of the Official List and to trading on the Main Market. It is expected that admission of the shares will become effective and dealings in the Shares will commence on or around 8.00 a.m. on 14 November 2018.

The issue of equity relates to the Company's acquisition of FLSV Fund Administration Services LLC which completed on 1 November 2016. The Shares issued represent the second tranches of both the initial consideration and the deferred consideration, which were part payable in SANNE shares. Of the Shares, 437,762 are to be issued to Jeffrey Hahn, who is employed within SANNE's North American business and is considered a PDMR.

Following admission of the Shares the Company will have 145,996,512 Ordinary Shares of GBP0.01 each in issue of which 98,533 are held in treasury. Therefore, following admission of the Consideration Shares the total number of voting rights in the Company will be 145,897,979 (the "Voting Rights Figure"), and this Voting Rights Figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure Guidance and Transparency Rules.
