Posted at 31/7/2007 07:00 by power talker Im forecasting a blue day on here...Should see some decent buying, we have risen two days on the trot with much more to come.remember its been a nightmare to get shares at close yesterday the online buy limits were 225k.. For SFd thats loads...if your thinking of getting in i would do it early, buyers were paying a premium yesterday on a small amount of shares.. TSE/SFD are going to be big, a great oportunity to get in early on a multi bagger..IMHo |
Posted at 30/7/2007 19:51 by power talker Another excellent day For stanford/TSE. Even though there was more sells than buys the price rose..A holder has liquidated 2 million and the share price has ticked up nearly 20% since friday.looks good to me, i agree this will move upwards not downwards, how fast who knows. If the seller is out of the way then fast, if not a little slower, everytime we should have ticked up today ....BANg another 500k sell. Lets hope hes done then 2p is a short distance away. |

Posted at 27/7/2007 07:41 by power talker Sandford Acquisition and Code WaiverRNS Number:9728A Sandford PLC 27 July 2007 For immediate release 27 July 2007 Sandford Plc ("Sandford" or the "Company") Proposed acquisition of Wilton International Consulting Limited Proposed waiver of the requirements of Rule 9 of the City Code on Takeovers and Mergers Proposed change of name to TSE Group Plc and Notice of Extraordinary General Meeting 1. Introduction The Board of Sandford announces that, subject to Shareholder approval, agreement has been reached for the proposed acquisition of Wilton International Consulting Limited ("Wilton"). Wilton, through its Lausanne-based subsidiary TSE, is a provider of strategic advice to international sports organisations, the public sector and private companies including advice to cities and governments on bidding and hosting major sports events such as the Olympic Games. The consideration comprises #750,000 in cash and 90,000,000 new Ordinary Shares ("First Consideration Shares") together with a deferred consideration of #200,000 and up to a further 24,000,000 new Ordinary Shares ("Second Consideration Shares") which are to be issued over the next three years. Based on the closing mid market price of 0.85p per Ordinary Share on 26 July 2007 (the last practicable date before the publication of this announcement), the Consideration Shares together with the Cash Consideration, values Wilton in aggregate at #1,919,000. The Acquisition will constitute a "reverse-takeover" under the AIM Rules and is therefore subject to the approval of Shareholders at the Extraordinary General Meeting, details of which are set out in the document that is being posted to Sandford shareholders today (the "Document"). Following the Acquisition, the business of the Enlarged Group will constitute that of Wilton and TSE. The issue and allotment of the Consideration Shares to the Vendors as consideration for the Acquisition would normally give rise to an obligation on the Vendors to make a Rule 9 offer pursuant to the City Code to the remaining Shareholders of the Company. The Panel has agreed, however, to waive this obligation to make a general offer to all Shareholders subject to the passing on a poll by the Independent Shareholders of Resolution 1 set out in the Notice of Extraordinary General Meeting. |
Posted at 19/5/2007 17:44 by boilerboy This is what has happened in the last 6 months:-28th March 2007..Name change from Media Steps(STEP) to Sandford(SFD. Appointment of new board for Sandford to seek RTO. 18th April 2007..Placing raising 1.067 million pounds. The company now has net cash balances of 1.2 million:- Following completion of the Placing the Company will have net cash balances of approximately #1.2 million, which will enable the management to consider a number of potential suitable acquisitions. The new Board intends to move quickly to complete a suitable acquisition and looks forward to making a further announcement in due course. I like the bit that says "quickly". They obviously have a rto lined up in my opinion, hence the reason of the placing of 1 million pounds with private investors at 0.75 pence which was the full share price at that time. The investors must be confident. There has also been a few large Buy trades since. DYOR as always but im feeling confident hence the reason for me investing £10k. Come on Sandford, I could do with 1 big winner this year!! bb |
Posted at 09/5/2007 15:12 by boilerboy Some suggest that the share price may be over valued. Maybe it is, who knows, it depends what happens. The recent rns below details a placing of shares with private investors at a price of 0.75p. I also noticed that 2 of the directors also subsribed to 5 million shares each at the placement price, so i guess that these guys must know that the share price is good value.RNS Number:0542V Sandford PLC 18 April 2007 For immediate release 18 April 2007 Sandford Plc ("Sandford" or the "Company") Placing On 27 March 2007 the Board announced that it intended to raise further equity funding for the Company as soon as possible.
