Scottish Highland - Directors' Shareholdings

Scottish Highland Hotels plc ("Scottish Highland Hotels") announces that each
of the undernoted Directors of Scottish Highland Hotels has accepted the
Offer, which has now been declared wholly unconditional, by Apax Partners &
Co. Capital Limited on behalf of Paramount Hotels Investments Limited to
acquire the entire issued share capital of Scottish Highland Hotels at a price
of 130p per share.  Accordingly, the Directors (and their connected persons)
have disposed of the following shares:
