"RWS notes the announcement made by Baring Private Equity Asia Fund VIII Limited ("BPEA") on 21 April 2022 and confirms that RWS has not received any formal approach from BPEA in relation to a possible offer for the Company ("Possible Offer"). Shareholders are advised to take no action in relation to the Possible Offer at this time. RWS will provide an update as and when required.

Brode still holds a very strong hand. To force through a contested bid needs at least 75% and to mop up the whole lot requires over 90%. He is still in control.

Looks like a very opportunistic move to me. The Brode style is to acquire and shake down the new acquisition to make it function more efficiently. Sometimes this takes a little bit longer as is the case with SDL. The market has trashed the share price to the point where it is attracting vultures. Brode needs to get his shotgun out of the cabinet!

Tarrant , anyone can preserve their IHT exempt status on a takeover if they reinvest the cash in another BPR holding. The 2 yr clock does not restart as long as the reinvestment is done in a timely fashion ; cannot recall the exact phrase. Mistake is to die holding the cash intending to invest.

I too have been a shareholder for over a decade and in all that time I don't recall the business ever being so undervalued. I'm not in the least bit surprised that private equity are sniffing around.

In a February research note [post 1253] Berenberg had a price target of 810p, whilst the consensus price target is 622p according to SharePad.

I will be very disappointed if RWS is acquired.

Mixed feelings here. Have held for more than decade and have a large holding ( for me anyway). Even at today’s much depressed share price it’s very profitable. Unfortunately the biggest part of my holding isn’t in my ISA so there’s a large cgt bill in prospect. Anything around 6.50 would be acceptable though in today’s market.

Only for the trade but yes, I think they will need to pay £6.50 at a minimum and they are probably fully aware of that. Sitting duck though, needs to be taken over.

However, the value to Mr Brodie's family from an inheritance tax viewpoint is significantly better in shares in RWS than in cash. I suspect however that he and other major long term shareholders will have been severely depressed by the share price movement in the last few months and may therefore not be totally averse to an offer that more fairly values the company.

As commented on there are a few geadwinds that should hold back the share price, and in these markets negatives crucify the price.

Anyone know what the forecast organic growth figure for 2022 and 2023 is ? From an earlier RWS results statement the IP business is said to represent 16% of the group.
