philmiboots what a find, it seems reflecmedia really are moving up a gear, my Question however is."How are they amrketing all this good technology because as they are not stock market listed, how many people are actually going to get to know about the products...

Loooking good however and holding might just turn out to be a success after all.

Normally reflec send an e-mail when other shares have been bought, this has not happened on this occasion, any reason why anybody?

And can anyone answer my question posted earlier about what they think a current selling price would be, given that it costs £150 to buy a share.

In today's A.G.M. all resolutions were duly passed with an average of 96%. Those present were Tim Robinson, Paul Holdcroft, John Kinder & Martin Cope (All from Reflec Plc).
Two Howard Worth representatives (Accountants) and surprisingly two senior corporate lawyers from D.W.F., also a representative from ComputerShare.

John Heaton was present along with his corporate lawyer and five other individuals belonging to the Heaton group. No other Reflec Plc shareholders were present. The meeting opened by Tim Robinson explaining that yesterday the Reflec Plc share price had increased by £50.00 per share. It was stated that the new Litering & Controller would be on sale from July onwards and that the Company plan their own ecommerce website to assist in selling the new innovative, exciting technology for both the video and still photography market. It was acknowledged by the Reflec Plc Board that the instigator of a 6 page free editorial on Reflecmedia in the Image Maker magazine was instigated by Howard Pearson. When it was stated that Howard had not even received a word of thanks from the Company for his efforts and achievements, the Board looked extremely embarrassed and apologised to Howard in open forum. Howard did incur costs in securing this article and it will be interesting to see if the Company contact him with a view to reimburse his expenses.

The Heaton lawyer requested in open forum that next year's A.G.M. is to commence at 2pm in a location close to fast rail network connections, this was noted by the Directors and we have little doubt that next year our request will be adhered to.

The dividend payment was duly passed, unfortunately no date was given as to when the cheques will be put in the post. There were no potentially embarrassing questions put to the Board. The meeting lasted approximately fifty minutes. The Heaton shareholders left immediately after the meeting however their lawyer stayed for a further fifteen minutes and talked to the Reflec Plc lawyers over matters that need resolving.

About three nights ago "Philmiboots" posted on this forum a Youtube video link that described and demonstrated the new Litering & Controller. I watched it twice and the Company really do seem to have hit on something bigtime. I suggest that the person who pushed the price up by £50.00 yesterday must of watched the video, but the bizarre situation is when you click on "Philmiboots" video link the video does not play anymore.

All in all a very good week for the rank and file shareholders of Reflec Plc.

Like me....I have 2 now. I did sell in 1999(no where near the highs though) but bought back about £1500 worth later. That is why I have no real idea about the split or splits.

So I need at least £750 a share now.

I had 350,000 in 1999.....they are worth very little now.....but were 10 pence apiece then rose to 42 pence in the dot com bubble...........after that they almost went bust...now seem to be growing fast again, but still a very long way to go before reaching their peak 1999/2000.

seemed more like 500-1......500 shares became 1


probably even worse.....like 2000 to 1........I know it was a lot.

If in the 90's then about 20,000 to 1 now or 50,000 to 1....hard to tell.

I bought these way back in the 90's. Think I bought either 1000 or 2000, will have to dig my cert out. Have we only ever had a 50-1 split?

So if the shares are trading at £150 each to buy will the selling price be the same or probably 50% les. Any ideas anyone.

1) Did the board not take into consideration the ability of what some would describe as a un-elected voice of stakeholders that follow the ADVFN BB thread of REF when they set the dates for the AGM?

2) In view that it is clear that members of the board follow the thread, do they not think it would be reasonable and sensible to seek suggestions from posters as too suitable dates having set out dates that would not be suitable for members of the board - or at the least suggested a range of dates that would be suitable?

3) Was the choice of date selected to try to silence regular posters on the thread?

4) Are the board willing to have a minority shareholder sit in as an observer of board meetings?

5) What plan do the board have to grow the business in the interests of all stakeholders?

6) Why did/do the board consider paying a divi - was/is better than retaining the funds to add value to the business and enhance the sp?

7) When the board took control of the company the share price was much higher, what steps are being taken to ensure that stateholders are at the very least able to return themselves to the position they were in before electing the current board?

a) Would the board consider share buy backs before paying any further divi?

b) Are the board minded to seek a buyer for the company in the near term?

I dont speak for the board so someone at the AGM can ask the question lol..

Im sure Mr Heaton n co will turn up and maybe able to give us a update...

There are a few questions which need answers...

The BOD have shown their commitment to the company by their holdings , so they only benefit like the rest of us .

It will be interesting to find out how they intend to help investors get a return on their money . Remember tho a first divi year in the companies history is a very good start .

Any questions for the BOD @ AGM , post here we all know they read th BB..

Your post re not being at the AGM man1, I find flabbergasting. Having given them ample advance warning of the dates you couldn't attend and seeing as you're probably the most supportive REF shareholder there's ever been, it beggars belief that they've still gone ahead and chosen a day when they know you can't be there. Unbelievable ! Was it impossible to postpone the meeting for a week or so ?

So what was the chairman's remark in the Annual Results announcement - asking for shareholders' support not criticism - all about ? Their decision must have made you feel very ..... wanted NOT !! Bang goes any chance of us getting any feed-back on the proceedings afterwards, there probably won't be anyone there. Or is that what they're hoping for, it would make life a lot simpler for them. Perhaps next year they could alter the arrangements slightly and plan for a 8.30 am start which would virtually guarantee zero attendance then.

As for your remark "i was led to believe that treasury shares cant be held by a de-listed company unless someone can tell me different", from my (admittedly limited) experience of de-listing that is not true. I have previously been told that the only hard-and-fast rule with which de-listed companies have to conform is the reporting of their annual financial details, to both Companies House and shareholders, within six months of their year end; they are not even obliged to announce Interim figures which I still find pretty dismaying.

Why the BoD chose the course of action they did and gave those purplus shares (arising from the consolidation) to the ESBT only they know. One thing is for sure, the likes of thee and me have not and will not benefit from it no matter how high the price ever goes !

i have learnt life is to short ....Too many people get hung up on things which dont matter in the long run ..

My only worry now is to how to pay off my mortgage etc ..

maybe it is a up beat view , im not one for reading too deep into accounts etc .

Based on the previous year turnover was down , but costs are down and we still maintained a profit for the year in what we all know is difficult times .

So my view was taking the management costs at the new low base , coupled with the maintenance program which has been running , ensures we are ready for any economic turnaround ? contract wins ..which in my simplisitic view must add to the profit ratio of the company .
The last time i spoke to the company they were being alot more pro active in trying to find work and stated they had many lines of enquiries outstanding .So hopefully some of the hard work will come good ..

On your other points ...

I have attended the last 6-7 agm's even when it was in London at great expense to myself and been one of two or three shareholders in the room .This year i made the company aware of some dates i would not be available just in case ..When the finals came out it is on a day i cant attend , so i wont be there . But i will make the effort to speak to the board at another time . Should they change the dates just for me ? would they ? All i can say is they havent .

As with the EBT , that is a question for the AGm , i was led to believe that treasury shares cant be held by a de-listed company unless someone can tell me different , but also agree that the EBT is a issue which needs clarification / sorted out . It was set up by Hearley for the good of the board , i am a great believer its role should be changed for the good of shareholders to assist in the recovery of our capital .

As for my previous discussions with the board , difference of opinion occur all the time . We all know the truth but lets look to the future ..

We need to look at ways of returning capital to investors . So any ideas shout them out .

I would like to see the EBT shares start to be bought by the company in order for existing shareholders to benfit.
