Why are you assuming that the placing price will be much different to the offer price in the market.

so placing announced and big holders get first dibs, once again retail investors are screwed

Blimey. This has blown up. Always the risk on captive legacy insurers. Founder exit, best to sell, is the lesson here. Fortunate for those of us that exited, but very painful for those that are left. Still have an indirect holding through Aurora Investment Trust. Any fundraising could be highly dilutive now. It makes you wonder whether the buyer had already lowered the price because they came across one issue and now another one has appeared.

Forever,

That is from a telly programme in the 1970s called Randall & Hopkirk (Deceased). About a pair of private detectives, the one in white is dead and a ghost, he's got a bereaved wife which adds a twist to the love interest.

See here:

Phew!Thank goodness I sold out in April.I held this stock many years and loved the big twice a year capital distribution but these ceased and PIs were cut out of discounted share issues & marginalised,I was becoming less keen on the shares. As I did n't hold the shares in tax shelter(I think it did not qualify for an ISA at the time of purchase) I decided to use a large part of this years CG allowance.I thought the takeover complex & gave up 20p+ extra profit.I did not expect this horror story.

If the Legacy balance sheet is blowing up more deeply it could well be Randall & Quilter (Deceased).

What was that 5% stake yesterday all about I wonder in light of what's happened since.

Bollers,

The troubling aspect of Brickell pulling out is that they own 23% of the company. If in their due diligence they've found reason for sinking the deal then they could think that a haircut on their 23% is better value than going all in.

I've sold the shares I bought in recent days.

Brickell pulling out like this leaves a massive void.

Why were shareholders not told of this letter at 7am on Tuesday, why drop the RNS at 8.04am today?

It looked like things were being lined up to get the vote through yesterday with the GLG and Accredited announcements.

Too much uncertainty for me.

I don't know enough about the situation here, but in the past, companies have failed when the offeror pulls out at the last minute. The offeror is then in a great position, having studied the customer base, accounts etc to pick up the pieces for nothing.

I'm always bewildered when investors vote against an acquisition and scream it's worth much more, only for it to go to zero afterwards. Happened with Lear in 2007, shareholders rejected Icahn's bid even after it was increased, company went bankrupt within two years.

This is a conundrum.

Not looking good if Brickell are looking to pull out, also looking for a further delay ?
