Result of General Meeting and Cancellation

Prime People plc, the global group of specialist recruitment businesses operating in depth, across the Real Estate & Built Environment sectors , announces that at the General Meeting held earlier today, all special resolutions were duly passed on a poll.

The total votes were cast as follows:

Note: A vote "Withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes "For" and "Against" shown.

As a result, the last day of dealings of the Ordinary Shares on AIM will be 24 January 2022 and the Cancellation of the admission to trading on AIM of the Ordinary Shares will become effective following the issue of a Dealing Notice at 7.00 a.m. on 25 January 2022.

The Re-registration of the Company as a private company is expected to take place by 11 February 2022.

Tender Offer

Further to the announcement and the Circular dated 17 December 2021, the last time and date for receipt of Tender Forms or TTE Instructions from Shareholders in respect of the Tender Offer is 11.00 a.m. on 14 January 2022.

The results of the Tender Offer will be announced on 17 January 2022.
