Director Shareholding

PTSG, the niche specialist services provider, hereby notifies the market that, on 4 June 2019, pursuant to a service agreement entered into between Roger Teasdale (the Group Managing Director) and the Company dated 14 November 2014 and as set out in the Company's admission document published on 5 February 2015, 3,079,673 new ordinary shares of 1p each in the Company ("Ordinary Shares") were issued to Roger Teasdale for nominal consideration following the GBP14.0m EBITDA milestone targets being met for the year ended 31 December 2018 as reported in the financial statements for the year announced on 26 March 2019.

Subsequent to the issue, Roger Teasdale's interest in the Company's issued share capital is as set out below:

In relation to the above, an application has been made to the London Stock Exchange for 3,079,673 new ordinary shares, which rank pari passu with the existing ordinary shares, to be admitted to trading on AIM on 7 June 2019.

In accordance with the FCA's Disclosure and Transparency Rules, following this allotment, the Company's issued share capital consists of 126,266,615 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.

The figure of 126,266,615 Ordinary Shares should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
