Total Voting Rights and Warrant Update

In conformity with the FCA's Disclosure and Transparency Rules, we would like to notify the market of the following:

As at 30 September 2017 Premier Oil plc's issued share capital consisted of 514,099,049 Ordinary Shares of 12.5 pence with voting rights. Premier Oil plc does not hold any shares in Treasury.

The figure of 514,099,049 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Oil plc under the FCA's Disclosure and Transparency Rules.

Since the completion of the refinancing on 28 July, the Company has allotted 3,274,788 Ordinary Shares as a result of the exercise of equity warrants, representing 0.64 per cent of the Company's enlarged share capital.

To date, 11,084,070 warrants have been exercised on a cashless basis and a further 237,348 warrants have been exercised in cash.
