“First, whether earnings will drop as sharply across the UK’s Big Five as they did America’s Big Four at the end of 2023 (where combined net income fell 41% year-on-year in the fourth quarter). Second, whether this sets a trend that will mean lower earnings in 2024. And finally, whether the loss of profit momentum means the big lenders deserve to be so cheap on an earnings, asset and yield basis.

“And this matters because, on paper, the banks do look cheap. They all trade on multiples of forward earnings for 2024 that represent a discount of 50% or more to the FTSE 100. They all trade on a discount to historic tangible net asset (or book) value per share. Bought PCFT for the first time today.

Seeing a lot of funds I like, but having great difficulty working out latest NAVs, with the markets so fast. What can look cheap can turn out to be trading at a premium.

Expect to add to it on further falls.

Not quite so nice now.

Got a list of targets (bit like the Russian kill list, only without death and lies), but struggling to see how relevant it is now the world has changed. Things like JMAT, PCFT, MNG, LGEN.

Have bought none of them so far (other than a residual JMAT holding).

Think it may be around end of November ... divi announced mid to late Jan ... The website says that the last results were out 30th Nov 20.

Conversion rate has been announced

"On the basis of the Conversion Ratio, a holder of 1,000 C Shares will receive 627 new Ordinary Shares upon Conversion"



Should convert on Friday 13th

Makes the effective purchase price of PCFT as £1.59, which isn't much of a bargain.

C SHARES

Conversion of the Issue Shares to be issued pursuant to the Initial Issue
Pursuant to the New Articles and the terms of issue, it is expected that the Issue Shares will convert to New Ordinary Shares within 5 Business Days of the Calculation Date, being the Business Day immediately following the record date for the next semi-annual dividend payable in respect of the Ordinary Shares
immediately following the issuance of the Issue Shares, which is expected to be announced on or around 5 August 2021.

On the Calculation Date for the Issue Shares, the net assets attributable to the Ordinary Shares then in issue, the net assets attributable to the Issue Shares issued pursuant to the Initial Issue (including, for the avoidance of doubt, any income accrued to such Issue Shares) and the resultant Conversion Ratio will
be calculated.

Holders of the Issue Shares will receive on Conversion such number of New Ordinary Shares as results from applying the Conversion Ratio to their holdings of Issue Shares on the Conversion Date, with fractions of Issue Shares being dealt with by the Directors in such manner as they see fit.

Following the Calculation Date, the Directors shall procure that the Conversion Ratio and the number of New Ordinary Shares due to each holder of the Issue Shares is calculated and that fair valuations of the assets attributable to the Company’s Ordinary Shares and the Issue Shares are prepared in accordance with the Company’s latest published valuation methodology.

August the 5th is the conversion date, the day aftet they go x divi. Price of C shares should move up as we approach conversion if PCFT hold up of course.

Looks like dividends will not be the same for the C shares .... from the document, page 7 ...

If they need to raise capital, I wonder why they did not just do a rights issue?

Dividends

Subject to the provisions of the Act and the Articles, the Company may by ordinary resolution declare dividends. No dividend shall exceed the amount recommended by the Board. Subject to the provisions of the Act and the Articles, the Directors may
pay interim dividends, or dividends payable at a fixed rate, if it appears to them that such dividends are justified by the profits of the Company available for distribution.

Subject to the provisions of the Act and the Articles, all dividends shall be declared and paid according to the amounts paid up on the Shares on which the dividend is paid. If any Share is issued on terms that it ranks for dividend as at a particular date, it shall rank for dividend accordingly. In any other case, dividends shall be apportioned and paid proportionately to the amount paid up on the Shares during any portion(s) of the period in respect of which the dividend is paid.

Holders of any class of C Shares will not be entitled to receive such dividends as the Directors may resolve to pay to holders of Ordinary Shares.

Notwithstanding any other provision of the Articles, but without prejudice to the rights attached to any Shares, the Company may fix a date and time as the record date by reference to which a dividend will be declared or paid or a distribution, or allotment or issue of Shares, made.

No dividend or other money payable in respect of a Share shall bear interest against the Company, unless otherwise provided by the rights attached to the Share.
