22/12/2014 16:46 | Lagosboy is absolutely right to pick up on the fact that shares will only actually vest with the individuals upon a change of control event or if the individual ceases to be employed. Now, given that Jamie D was parachuted in from Jim Mellon's team shortly after FDA reg approval it strongly suggests that there intention is to sell the company. The only negative here is that given the director dealing today the takeover is unlikely to happen within the next 30 days. BUT lets consider the company's position in the market. Clearly, by appointing FinnCap in the UK they are hoping to push the stock to UK investors. To my knowledge FinnCap have not yet produced a research note on the company and are set to do this in the new year. Further, it is common for research notes to be produced at the same time as some good news - i.e. a US distribution deal for example. Given 2014 is now over as far as the market is concerned and that the director dealing could not be within 30 days of a deal being signed, I would strongly suggest that we should be looking for an RNS from 20th January onwards regarding a US partner. Remember in November RNS the company stated they are in advanced talks for a deal. | mrejh | |

22/12/2014 15:37 | Under the criteria set, shares will only actually vest with the individuals upon a change of control event or if the individual ceases to be employed or engaged with the Company or Group under “good leaver” or acceptable circumstances The RNS clearly states that these shares will only vest upon change of ownership - ie a takeover. Seems to me they are being incentivised to flog the company- otherwise these 'free shares' are worthless. Wonder why Wyllie does not figure in this ? | lagosboy | |

22/12/2014 14:31 | Yes. Agreed. Base case is 25p. We must remember that the company bought back remaining rights at last fundraise. The reason stated was that they could receive 100% of royalties. That buyback of rights has put the likely buyout figure to between 30-40p in my opinion. Remember the fundraise was at 9p or so. The institutions that took part would only have done so on the basis of a 3x minimum upside. Baker Brothers took part - one of the top US biotech investors by performance. | mrejh | |
22/12/2014 12:24 | Seems quite low assume managemenets prediction that$1 billion peak sales is correct, 2x sales is not unreasonable multiple to pay that values company at circa $2 per share or circa £1.33. flex by appliny a 50% discount for risk assumed by acquirer - and we still get price of circa 66p. 22/12/2014 07:44 | Interesting news this morning re. LTIP. As I make it at 20p takeout price Jamie D walks away with £5m. This is fine as he only gets it on takeover and his interests are now aligned with shareholders. It's interesting they chose to issue at this low level which suggests they think we're at or very close to bottom...I see this advanced strong buy signal...follow the knowledgeable money. Although does suggest any takeover won't happen before Q1 2015. My best guess for takeover is Q3 or Q4 2015 at 25p+. | mrejh | |
