In conformity with the Disclosure and Transparency Rule 5.6.1, ProVen Planned 
Exit VCT plc announces the following: 
 
The Company's capital at 30 April 2011 consisted of: 
4,317,779 Ordinary Shares of 0.1 pence each and 
4,317,779 A Shares of 0.1 pence each. 
 
In addition 2,158,889 A Shares will be allotted to management under the terms of 
the Company's current Offer for Subscription but have not yet been issued. The 
Company does not hold any shares in treasury. 
 
In accordance with the Company's Articles of Association, each Ordinary Share 
carries one thousand votes and therefore the total voting rights of the Ordinary 
Shares are 4,317,779,000; and each A Share carries one vote and therefore the 
total voting rights of the A Shares are 4,317,779.
