What happens if an overseas company is subject to insolvency proceedings? If an overseas company has a UK establishment and is being wound up under laws outside the UK it must file a ‘Notice of winding up of an overseas company (form OS LQ03) with Companies House... 2. Appointment of a liquidator A person appointed as the liquidator of a company must file a ‘Notice of appointment of a liquidator of an overseas company (form OS LQ01) It's a fact, those forms have not been filed. 03/5/2016 06:41 | In theory, they have 30 calendar days to appoint a nomad before being ejected from AIM. The last nomad, Strand Hanson, resigned on 14 April... so that would mean 14 May is delisting day. Approximately 10 full days left. Strange thing is, Phorm haven't notified regulators that they are insolvent/winding up. Singapore still lists them as 'Live Company'. Companies House still thinks Phluid Media are 'Active'. So if they have "commenced an orderly cessation of the group's operations" they aren't in a hurry to tell authorities. OTOH if the board are lying, it would at least be consistent with a business plan that revolved around lies, deception, fraud, and crime. | felixcatuk | |
