Pathfinder Minerals: Court Confirms Shareholding In CMDN - Quick Facts


Pathfinder Minerals Plc (PFP.L) announced that judgment has been received in respect of the proceedings heard by the Maputo Court on December 6, 2012, at which the court considered the question of the status of the shareholding of the company's wholly-owned subsidiary, IM Minerals Limited, in Companhia Mineira de Naburi.

IMM had sought the annulment of certain resolutions purportedly passed at an extraordinary general meeting of CMDN on December 9, 2011. In its judgment, the Mozambique Court held that IMM was a shareholder in CMDN as at December 2011 and had a right to be notified of and to take part in the December EGM. Since IMM was not given notice of the December EGM, the Court annulled the December Resolutions.

The Mozambique Court has also confirmed that the judgment of the Mozambique Court given in October 2013, which purported to find that IMM was not a shareholder in CMDN, is not binding on IMM because IMM was not a party to the proceedings.

A tiger by the tail
Pathfinder Minerals (‘Pathfinder’) is an AIM quoted natural resources
company with a heavy mineral sands concession on the Indian Ocean
coast of Mozambique, encompassing the valuable minerals ilmenite,
rutile and zircon, used in a wide variety of industrial applications.
Pathfinder is currently capitalised at only £53m. Although smaller, it
compares directly with Kenmare Resources, its close neighbour in
Mozambique, which is currently capitalised at £1.3bn – an apparently
significant undervaluation.
 The mineral sands deposits in Mozambique contain 71.7m tonnes of the
titanium minerals ilmenite, rutile and zircon.
 Prices of these minerals have rocketed this year, and are expected to rise
further as supply runs into long term deficit.
 With a number of world class mines due to be exhausted over the next
few years, the mining industry will struggle to maintain production at
current levels, while growth in demand will continue to be fuelled by China
and other developing economies. Growth in these products is closely
associated with urbanisation and GDP growth.
 Ilmenite and rutile are used as feedstock to produce titanium dioxide
(„TiO2‟), an essential ingredient of pigment manufacture with widespread
applications, while zircon, the most valuable, is used in the production of
ceramics. Titanium metal can also be extracted.
Conclusion: significant potential upside
We set an initial fair value of 27.5p per share, which compares with
the current price of 5.1p.
Our examination of the Scoping Study confirms our view that
Pathfinder truly has ‘a tiger by the tail’
