                            DIRECTORS' SHAREHOLDING                            

The Company was informed on 2nd June 2003 of the following transactions
undertaken by directors of the company. Mr A G Holt sold 41,000 ordinary shares
of 1p each ("Ordinary Shares"), representing 0.21% of the Company's issued
ordinary share capital, at a price of 39p per share. Following this
transaction, Mr Holt has a beneficial interest in 2,000 Ordinary Shares
representing 0.01% of the Company's total issued ordinary share capital.

Mr D Y Eadie disposed of 15,835 ordinary shares at 42p per share on 30th May
2003 and 28,000 shares at 41p per share on 2nd June 2003. These disposals
represent 0.22% of the Company's issued ordinary share capital and following
these transactions Mr Eadie no longer has a beneficial interest in the
Company's Ordinary Shares.
