On 25th February 2009 as a result of transactions by Oxonica plc UK Employee 
Benefit Trust, pursuant to the Oxonica plc UK Share Incentive Plan (an all 
employee share purchase plan approved by HM Revenue and Customs) (the 
"SIP"), the following executive directors of the Company have the interests set 
out below as a result of their personal participation in the SIP:-

In accordance with the rules of the SIP participants are awarded Matching Shares 
on the basis of one Matching Share for each Partnership Share. The beneficial 
ownership of the Matching Shares will pass to Kevin Matthews and Richard Clarke 
in three years time subject to continued employment and the retention of the 
underlying Partnership Shares.
