    On 22 December 2008 as a result of transactions by Oxonica plc UK Employee Benefit Trust, pursuant to the Oxonica plc UK Share Incentive
Plan (an all employee share purchase plan approved by HM Revenue and Customs) (the "SIP"), the following executive directors of the Company
have the interests set out below as a result of their personal participation in the SIP:-

continued employment and the retention of the underlying Partnership Shares.
