NXT plc - Payment of Directors' Fees by Shares

The Company announces that for the quarter ending December 2003 its Chairman
has agreed to take part of his fees, and its Non-executive directors have
agreed to take all of their fees in a mixture of cash and Ordinary Shares in the
capital of the Company, pursuant to resolutions of the Board made on 18 December
2001 and 7 September 2003. 

The payment in shares for the fees due at 31 December 2003 have been calculated 
utilising the Company's mid-market share price at 30 December 2003.

The directors must hold the shares for a minimum period of 3 years.
 
In relation to the above, application has been made for 16,985 Ordinary Shares 
of 25p each to be admitted to the Official List of the UK Listing Authority and 
to trading London Stock Exchange on 14 January 2004, and will be allotted in the 
following proportions:

     Gordon Owen          7,463 
     Ian Buckley          3,174 
     Anita Frew           3,174 
     Tony Knox            3,174
                         ------
                         16,985

These shares will rank pari passu with the existing Ordinary Shares in the 
capital of the Company.

As a result, NXT's Chairman and Non-executive Directors hold the following 
shares in the Capital of the Company:
