He is confident that Vertus will be licensed out shortly, thinks Hayward Tyler will bring a solid and profitable future turnover and admits he thinks Nviro got a better deal than Southbank. They must have been told a pretty compelling story by the two companies. The resulting company will clearly have some very good prospects in the new GREEN economy. The political will is behind this and the fuel problem is only gioing to get bigger and bigger. Hayward Tyler was bought for £17million in 2006 by Southbank and has since increase orders by 123% - So surely worth a bit more now? lets say £25 million. I've emailed Chris to try to find out more about what is going to happen to Nviro's technologies and hopefully licensing out Vertus in early 2010 will add plenty of value to the company. But even if, worst case scenario, we are left simply with shares in Hayward Tyler, £25 million seems a reasonable value for the company so £1.00 per share, or 10p pre consolidation. Will be interesting to see what the market thinks after consolidation. | omega09 | |

I suppose it probably means the deal currently under discussion is its last chance. 04/1/2010 08:56 | I suspect this will only be a good deal short-term if it is followed by a vertus deal. When I bought into nviro i was buying into vertus not hayward-tyler's fulid filled motors. The trouble is I don't see anything 'transformative' about the possibilities connected with hayward-tyler in the way that vertus would have been for nviro. Ending up with hayward-tyler is by no means the end of the world but in investment terms it's going to be a different kettle of fish to nviro and with the consolidation the short term looks a bit bleak (though I am not especially experienced with these things - imho and all that). 'Should these licensing discussions not reach a satisfactory conclusion the Proposed Directors intend to cease development of the Vertus technology.' This statement seems to me to be quite pointedly negative! I suspect from the short-term view 'negative' might well be the new 'positive' and I'll be covering my long position with a short unless there is news of a vertus deal. GL all holders | sean333 | |

Fairdeal2008, I am an existing holder thinking of topping up, not overly negative just nagging doubts particularly on market reaction to consolidations. Don't think the concern we could essentially be investing in an almost unrelated company is pointless. Always found this to be a good thread, if you or other shareholders have a positive point of view am interested in your rationale. From my initial research I like the look of Hayward Tyler particularly if they have a foothold in China/India. As Paragon says lets wait and see what happens to Vertus. I bought NVR for the potential of its technologies, which after many "things are progressing well" RNSs now suddenly appear to be in the last-chance saloon. I still don't feel the company(ies) have explained how they intend to produce shareholder value from this deal. At the moment it seems more like two drowning swimmers clinging desperately to each other for buoyancy. The chart shows that's what the market thinks too. | tokyojohn | |

04/1/2010 08:13 | This is starting to look like my 'worst case scenario' (post 5657): 'Worst case scenario is that the strategic partnership deals don't work out and this takeover or, rather, reverse take over becomes a way for southbank to get an aim listing wihtout the expense, bureaucracy and time such a listing would require if it were to do such a move on its own. There's a pdf on it its site that gives very similar reasons for listing on the cisx. Southbank (as nviro) will be able to achieve funding more easily while on aim. I don't think southbank would want to get into bed with nviro just to go down the plughole. So, worst case here is we all end up with shares in essentially a different company with a different profile and outlook.' The consolidation was a bit of a kick in the teeth in my view. This share will only rise on +ve news about either a vertus deal or new southbank deals (though southbank does still have a £40m order book apparently). The main glimmer of hope for me is that the £4m raised in the placing might indicate that there is still some life in the vertus deal. | sean333 |
