Directors' Dealing and Grant of Options

Norseman Gold, the AIM-listed and ASX-listed Australian gold production company was informed on 3 May 2011 that on 3 May 2011 Gary Steinepreis, Non-executive Director, through Ascent Capital Holdings Pty Ltd, acquired 1,000,000 ordinary shares at 16.5p per share. Mr. Steinepreis is now beneficially interested in 5,030,000 ordinary shares in the Company representing approximately 2.28 per cent. of the issued share capital of the Company.

The Company also announces that on 3 May 2011 it granted options to a number of employees over a total of 9,150,000 ordinary shares. The options are exercisable at 64.4p (AUD1.04) on or before 25 January 2016. As part of this grant of options, Barry Cahill, Chief Executive Officer, was granted options over 2,500,000 ordinary shares as approved at the General Meeting of the Company held on 28 April 2011.
