Result of Open Offer



On 5 September 2003 the Company announced a firm placing and open offer of
5,555,556 New Ordinary Shares of 5p each in the Company at a price of 180p per
share to raise approximately #10 million before expenses.  Of the New Ordinary
Shares 1,904,357 were available to satisfy valid applications by Qualifying
Shareholders under the Open Offer.



An irrevocable undertaking was obtained from K J McNeany, Executive Chairman of
the Company, not to take up his entitlement under the Open Offer of 497,601 New
Ordinary Shares.  These New Ordinary Shares were also placed firm by Brewin
Dolphin Securities.



Of the remaining 1,406,756 New Ordinary Shares available for take-up under the
Open Offer and conditionally placed with institutional investors by Brewin
Dolphin Securities, valid applications had been received by the close of the
Open Offer at 3.00pm on 26 September 2003 for 1,267,021 Ordinary Shares.  This
represents approximately 90 per. cent. of the New Ordinary Shares offered under
the Open Offer that were not subject to irrevocable undertakings as described
above.  Those not applied for have been placed with clients of Brewin Dolphin
Securities.



The Placing and Open Offer remains conditional upon the passing of the
resolutions at the EGM of the Company to be held at 10:30am on 29 September
2003, and upon the admission of the New Ordinary Shares to the Official List and
to trading on the London Stock Exchange's main market for listed securities
expected to take place on 30 September 2003.
