Directors' Shareholding

The Company announces that following the exercise of share options under the
Company's Executive Share Option Scheme on 19 January 2004, 35,717 ordinary
shares in the Company were allotted yesterday to Lorene Simpson, finance
director of the Company and subsequently sold on 19 January 2004 at a price of
245 pence per share. The exercise prices of the above mentioned shares are
detailed in the table below:

interest in 28,958 ordinary shares in the Company representing 0.11 per cent of
this issued share capital of that class.

The Company also announces that following the exercise of share options under
the Company's Executive Share Option Scheme on 19 January 2004, 66,003 ordinary
shares in the Company were allotted yesterday to David Johnson, a director of
the Company and subsequently sold on 19 January 2004 at a price of 245 pence per
share. The exercise prices of the above mentioned shares are detailed in the
table below:

this issued share capital of that class.

The shares issued under the Company's share option schemes above will be
admitted to the Official List of the UK Listing Authority and to trading on the
London Stock Exchange's market for listed securities in due course under the
Company's block listing facility.
