Even if the transaction doesn't happen, then the stock is still cheap at 60p – trading on <1.2 times 2016 sales. Can't see much downside from here for long-term investors.

Just noticed that Cornerstone - growing sales at 25%-30% pa (but with minimal profits) - is presently valued at $2.45bn, or 5.5x-6.0 2016 revenues ($425m-430m).

Maybe Panmure Gordon's PT of 165p is not too bonkers after all!

IMO, interested parties list could include MBO, private equity (re software rollup) or alternatively any logical trade buyer such as Success Factors / SAP, SABA, Cornerstone (Nasdaq; CSOD), Taleo/Oracle, etc

Techinvest have consistently said that NETD are considerably undervalued compared to US peers. I'm thinking of adding here.

Unlikely or they would have bid before the profit warning. I'd guess they're looking to get it on the cheap so 60-70p vs 40p before the story leaked, at which level it will most likely be rejected.

Thanks for that Brummy. Wondering if Moody's are behind it.

Brexit has made UK companies significantly cheaper and hence a time of great opportunity.

Depends on the type of buyer (e.g. VC or trade), and how strategic Netdimensions is to them. In my opinion around 2x 2016 sales would seem fair (or 90p-100p/share), but really this is total guesswork.

What do you think the offer per share might be?

Now that really would be happy days – but does anyone really believe the 165p price target? From my calcs that would be equivalent to around 3.5-4.0x 2016 revenue estimates.

That said, if it was offered, then I wouldn't say no

Will be interesting as Panmure still have a price target around 165p.

Interesting - though not at anywhere near the current price.

"Statement regarding share price movement

The board of directors of NetDimensions (the "Board") notes the recent movement in the Company's share price.

The Board confirms that it has had an unsolicited approach regarding a potential transaction, which may or may not lead to an offer being made for the entire issued share capital of the Company. It is emphasised that there can be no certainty that an offer will be forthcoming or as to the terms on which any offer might be made.

A further announcement will be made as appropriate."

Miton's previously reported NETD holding in Nov'15 was 3,300,000 (6.45%) shares - so they've off-loaded at least 777k in the meantime (last reported 2,523,166, or 4.93%). Remember they only have to disclose when they pass through each -/+ 1% - ie not when they buy/sell anything less, which they may already have done.

Has anyone got any thoughts why Gervais Williams at Miton group is selling, especially on to the market in a rather illiquid stock? Sort of suggests that he can't get the shares away to any other fund manager on the other side of the trade, even at these levels?

Could easily double and still be cheap.I like the cash position and recurring revenues.Panmure have 169p price target.Seems too cheap at these levels and a takeover risk
