Exercise of Options and Director Dealing
Netcall plc (AIM: NET) a leading provider of end to end customer engagement software solutions, announces that it has applied for the admission to trading on AIM of a total of 1,454,118 new ordinary shares of 5p each ("Ordinary Shares") which have been issued pursuant to an exercise (the "Exercise") of options over Ordinary Shares by a number of employees of the Company. All of the options have an exercise price of 5 pence.
Accordingly, the Company has applied for the 1,454,118 Ordinary Shares to be admitted to trading on AIM. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares and admission is expected to become effective on 27 October 2015.
The Company also announces that Michael Jackson, Chairman of the Company, sold 470,000 ordinary shares of 5 pence each at a price of 53p earlier today. Mr. Jackson undertook this sale to institutional investors in order to raise funds to satisfy an accelerated payment notice he recently received from HMRC in relation to his personal tax affairs. Following this sale, Mr. Jackson's beneficial interest in the Company is 800,000 Ordinary Shares, representing approximately 0.58% of the issued share capital of the Company.
Total Voting Rights
The Company advises that, following the issue of the new Ordinary Shares pursuant to the Exercise, the Company's issued share capital will be 140,356,111 Ordinary Shares which includes 1,869,181 Ordinary Shares which are held in treasury. As such the Company's total number of Ordinary Shares with voting rights is 138,486,930.
The above figure of 138,486,930 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
