andysand: Also, short term, I suspect this is the beginning of a sustained campaign of publicity. The new team they brought on to handle investor relations has probably just got into gear. If so, I bet we get a string of announcements over the coming weeks to push up the share price. So looks good short term to me as well as long term. I would like to see a price higher then 4.5p to confirm my, as yet unsubstantiated, belief.

terminator101: The trouble is the death spiral finance sounds so amazing to the management, they get the money to expand and the financier gets a guaranteed return in the cash. And during the arrangement stage the conversation would be all "don't worry" as it's so amazing the market will recognise the growth and the share price will go up and there will be less dilution blah blah blah. Trouble is that's short lived and anyone with any sense won't touch it with a barge pole, and you end up with the death spiral being enacted. They would have been better just doing an equity raise at a discount, shareholders would have been annoyed, but would have seen it as an investment for growth. Ps, there's no chance of suspension, why would there be. Just because the share price is sinking into oblivion due to the death spiral is no reason. Savvy traders can make a Bob or two between rounds of the death spiral, but that's what you are stuck with until it's finished.

terminator101: Don't get me wrong here, the other 2 x RNS were good solid progress at NAPS, just the sort of thing shareholders would welcome to add value, but the management went for the easy money of death spiral, and in the next 12 months that will be a major anchor on the share price.

dlewis1: Guess I wasn't to far off on my 1.90 share price. I almost convinced myself this morning that we've reached the bottom and almost bought more to try to average down. Thank goodnesses I decided to hold off. No point in buying higher than the last set of investors so will just wait. Hope they don't just dump the shares aft the first rise in the share price.

dlewis1: I was really hoping that I was wrong when I said 1.90 by Friday. Given tomorrow is a bank holiday it will take us to Tuesday next week. I'm truly saddened by this share. Been in for over 8 years. Since the name was Armstrong holdings. After 1.90 we will see 1.50 without news by the middle of April. I'm loosing so much money here that all I can do is hopefully get more at a lower level and try and make some money on the way back up providing that the big investors do not sell out. I really don't understand. Without Napster where would the share price be?

terminator101: Doesn't look fake to me. Yip indeed it's death spiral finance. Nice touch they did a small placing to spike investors beforehand too. Winner winner chicken dinner (at least for the loan note holder). The investment will comprise the subscription of 648 Loan Notes, each having a nominal value of GBP10,000 and GBP6.48 million in aggregate. The Loan Notes will be subscribed for by the Investor in 12 tranches of GBP540,000 at the Company's request, each tranche not to be more than 21 days apart, during the course of the Commitment Period. The Loan Notes will be convertible into Ordinary Shares at the Investors request and will have a conversion price calculated with reference to 93 per cent. of the lowest daily VWAP during the 6 trading days immediately preceding the date of notice of conversion. The Company has the option to redeem the Loan Notes at its absolute discretion in cash at a 3 per cent. premium to their nominal value. In addition, the Investor will receive a commitment fee equal to 5 per cent. of the principal amount of each tranche of Loan Notes subscribed for by the Investor. No interest will be payable on the Loan Notes. In addition, the agreement contains customary representations and warranties for a financing arrangement of this nature. In the event the Company's share price decreases between the date following a conversion notice being issued by the Investor and admission of the shares to trading on AIM (the "Pre-admission Period"), the Company shall pay an amount to the Investor equal to the difference multiplied by 20 per cent. of the total volume of ordinary shares traded on AIM over the Pre-admission Period, such amount to be satisfied at the option of the Company in cash or in equity. The difference in share price during the Pre-admission Period would be calculated using the average share price over the Pre-admission Period.

terminator101: Where do the sellers get their shares from? The continuous death spiral finance. Its actually worse than death spiral finance as not only do they get cheap shares to offload and drive the price down, if they fail to make a profit between converting and selling there's a little kicker there that guarantees a profit for them. Surprisingly the rampers like holiday fail to mention any of this death spiral for the next year eh"The investment will comprise the subscription of 648 Loan Notes, each having a nominal value of GBP10,000 and GBP6.48 million in aggregate.
