Offers for Subscription

On 23 October 2020, the Companies announced the publication of a joint Prospectus (comprising a Securities Note, Registration Document and Summary) in relation to offers for subscription of new Ordinary Shares of 10p each (together the "Offers" and each an "Offer").
In the Prospectus, it was stated that all valid Applications that were received (together with their relevant application monies) and accepted by the deadline of 12.00 noon on 29 January 2021 would be eligible to receive an Early Investment Incentive discount under the Offers. Existing Shareholders (and their spouses or partners) in any of the Maven VCTs, including the Companies, at the time the Application was received would benefit from an enhanced rate of discount in recognition of their continued support for the Maven VCTs. The levels of discount to be applied would be:
-- 1.5% of the Application Amount for Existing Shareholders; and -- 1.25% of the Application Amount for New Investors.
It was also stated that each Company could, in consultation with Maven Capital Partners UK LLP (Maven) and in their absolute discretion, extend the deadline by which Applications must be received and accepted to be eligible for the Early Investment Incentive under its Offer.
The Board of each Company confirms that the deadline by which Applications must be received and accepted to be eligible for the Early Investment Incentive under their Company's respective Offer has been extended until 12.00 noon on Friday 26 February 2021. Furthermore, it is anticipated that both Companies will make initial allotments of new Ordinary Shares under their respective Offers as soon as practicable after that date.
