Result of EGM and Total Voting Rights

The Company is pleased to announce that at the EGM held today both resolutions tabled were duly passed.

In respect of Resolution 2, the voting was determined by a poll and the results were as follows: -

The Company has now cancelled 16,966,158 new ordinary shares of nil par value (the "Ordinary Shares") and cancellation of such Ordinary Shares trading on AIM is expected to take effect on 14 April 2020. As a consequence, and as at the date of this announcement, the Company's issued share capital now consists of 114,130,077 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury.

The figure of 114,130,077 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the shares of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

The Company also announces that, as detailed in the Circular dated 20 March 2020, John Banks ceases to be a director of the Company with immediate effect.
