I didn't have to wait long for the notice of general meeting. Let's see if the board are planning to limit the new share authority to just issuing shares to pay invoices or will they decide to issue shares for cash in a placing and some warrants exercisable at a nice low price to friends and family as well. That investor presentation on 2nd May in London might see some fireworks.

Quite a lot of comment on the LSE board. Questions in my mind are 1) which shareholders blocked the disapplication of pre-emption rights resolution at the AGM? and 2) was this just to prevent a dilutive placing or is there a shareholder dispute behind the scenes? I half-think that this drone acquisition is a way of restoring voting power to the board so that there could be a second attempt by way of a general meeting to disapply pre-emption rights in order to raise money with a placing. As regards Arden's part in this, on the face of it, the drone deal is not a related party transaction therefore Arden are not required to provide advice to the independent directors as to whether or not the deal is fair and reasonable. Arden's advice is limited to the contents of the RNS which seems to be in order. That said the stink this deal has created will cause enormous embarrassment to Arden especially if they have put any of their value investors into the stock. I expect further weakness in the shares tomorrow as we still have no news on the debt restructuring.
