Management Resource Solutions Plc ("MRS"), a leading Maintenance, Fabrication, Civil and Earthworks company, is pleased to announce the acquisition of Alerion Consulting Ltd ("Alerion") from its founder Elliott Talbott and others for a consideration of GBP1,320,000 to be satisfied by the issue of 26.4 million ordinary shares of MRS at an agreed price of 5p per share, credited as fully paid (the "Consideration Shares").

There is another vote on issuing new shares here soon NY Boy,having just issued over 26.4m shares the board want to issue more,this is likely to get more dilution very soon imo,very risky. If you want a safer bet try Toople (Toop).

Appears to have solid base of ground works and mining operation/engineering with solid-sounding ongoing contracts.On the downside, the company has been built on expensive debt and lease finance although average interest rate has appeared to fall - probably as the newer debt is property-related.There are people here who have long been unhappy with the management. The structuring of the latest deal is a concern to me but I can't believe the management thought they could get away with it.Maybe new management and a 'back to basics' plan would allow the value to shine through and that should be multiples of the current share price To address your question, 'investability' depends on your attitude to risk vs reward. This is some way from risk-free but the % upside is way more than the % downside.I will be interested in your thoughts when you have had a look for yourself.I will try to get to the forthcoming meeting in London to eyeball the management and make my own mind up on them.

Is this one investable? Seems to be trying a chart recovery but I will need to do some more due diligence, doing very well on (STX),my retire early stock after 27 July, so have spare cash to invest this year. Already have a few little acorns awaiting news flow, MSYS,BOOM,ITX,INFA, so hopefully these might add to the mix.

It is also an exercise in increasing income. MRS management want to grow the company fast imo and they don't care about a bit of dilution.///////In addition to the surveying services offered, the Aerial Cinematics intellectual property will allow MRS to add blast mining mapping, planning and site safety to its services using a combination of UAV and a propriety payload including precision ground marking, LiDAR mapping and thermography sensors. The directors consider that the availability of this facility will considerably enhance the efficiency and growth potential of MRS's services. Several other new revenue streams will also be opened up as a result of the UAV's modular payload system including forestry, waterway, rail, highway, land clearance mapping, and power line development and maintenance.

MRS wants to grow fast and doesn't care about short term price fluctuations of its sp,I just hope that someone comes in and makes a 10p a share bid for the whole company.

Northpole2,I have arry and eggy filtered,they can say what they like,who cares. They are well down here from the 7.25p and me losing on MRS won't help them,at least I saw the dilution there as driving the share price down even further and sold out at a loss last week. You win some you lose some,you must be able to move on when events change your outlook,some just hold on and lose even more like arry//////////You can check my posts on here Lanarkian and see for yourself when my last ramp was.

Notice of Requisition of General Meeting

The Company also announces that it has a received a requisition of a general meeting of the Company at which resolutions are to be proposed to remove John Zorbas and Timothy Jones as directors of the Company, to remove any directors appointed between 11 April 2019 and the date of the general meeting and to appoint Nigel Burton, Trevor Brown and Daniel Smith as directors of the Company.
