Tendered our 7.4% holding.

A minimum of 40,463,301 need to be tendered for it to go through. You can knock 6.1m off that as we have tendered.

It is a tender by LSR itself. It is just contingent on that many shares getting tendered that Thalassa (who won't tender any shares) has a controlling 50%+ stake after the tender offer.

Thalassa currently has a ~25% stake. So if 2/3 from the remaining 75% shareholders tender their shares they end up with 50%. If less than 2/3 of the minority holders tender Thalassa won't end up with a controlling position - in that case the tender (most likely) won't go through. Though if they end up with something like 48% of the voting rights they might still decide to go through with the tender offer as they basically have a deciding voting block in that case.

I'm using rounded numbers to make the example simpler but it is a pretty close approximation.

I thought LSR was going to tender for its own shares but see now that the tender offer comes from Thalassa.
Does this matter to LSR shareholders? Presumably not.

Please be advised the Capital Reduction Resolution at the GM requires 75 per cent. of LSR Shares voted voting in favour (as opposed to 75% of shares in issue).

Oh the lsr website is a section for investors concerning the reduction. Last I looked (last week) there were only draft forms.

LSR Shareholders passing the Capital Reduction Resolution by the requisite majority, being at least 75 per cent. of LSR Shares voted voting in favour, at the General Meeting.

By requiste majority, that means 75% of votes recieved ?

And a price set at 31.3p which is not the 38p I originally expected all those years ago, or the 36p it might have been without thal's "assistance".
