It is just contingent on that many shares getting tendered that Thalassa (who won't tender any shares) has a controlling 50%+ stake after the tender offer. Thalassa currently has a ~25% stake. So if 2/3 from the remaining 75% shareholders tender their shares they end up with 50%. If less than 2/3 of the minority holders tender Thalassa won't end up with a controlling position - in that case the tender (most likely) won't go through. Though if they end up with something like 48% of the voting rights they might still decide to go through with the tender offer as they basically have a deciding voting block in that case. I'm using rounded numbers to make the example simpler but it is a pretty close approximation. | restirw | |
