RECOMMENDED OFFER FOR WHITE YOUNG CONSULTING GROUP LIMITED

OFFERS DECLARED UNCONDITIONAL IN ALL RESPECTS

The board of Ernest Green & Partners Holdings plc ("Ernest Green") announces
that, in relation to the offer made by Ernest Green for all the issued
ordinary shares of 20p each in White Young Consulting Group Limited ("White
Young"), by 3.00 pm on 18th July, 1997 valid acceptances of the offer had been
received in respect of 418,815 ordinary shares of 20p each in White Young
("White Young Shares") representing approximately 98.2 per cent. of the issued
share capital of White Young.

Prior to the offer period, Ernest Green had received undertakings to accept
the offer in respect of 385,160 White Young Shares, representing approximately
90.3 per cent. of the issued share capital of White Young.  Valid acceptances
of the offer have been received in respect of all these White Young shares.

At the extraordinary general meeting of Ernest Green held on 17th July, 1997,
the resolution proposed, inter alia, to approve the offer was duly passed and
at an extraordinary general meeting of White Young held earlier today the
resolution to approve changes to the articles of association of White Young
was also duly passed.  Accordingly, Ernest Green has declared the offer
unconditional in all respects (subject to re-admission of the existing
ordinary shares and admission of the new ordinary shares in Ernest Green to be
issued to White Young shareholders pursuant to the offer, becoming effective)
and announces that the offer will remain open for acceptance until further
notice.

Dealings in the existing ordinary shares and the new ordinary shares in Ernest
Green are expected to commence on Monday, 21st July, 1997.

Share certificates in respect of new ordinary shares in Ernest Green will be
despatched by 28th July, 1997 to White Young shareholders who have validly
accepted the offer.
