LEAF CLEAN ENERGY PLC
Compulsory Redemption.

GBP61.17 in cash for each Leaf Clean Energy (Leaf) Ordinary share held.

Important Information & Other Key Dates:

Following our previous communication 19th February 2019, Leaf has announced that it will redeem all its outstanding shares.

The Redemption is expected to become effective on 4th March 2022.

The cash is expected to be credited to your account and your shares debited on or after the 11th March 2022.

Received voting form from broker in this morning's post! Got to be returned by end of this month. Though it gives no company EGM details beyond Special Resolutions to vote on.

If of any interest, the liquidators are Christopher Smith and Martin Trott of RH Restructuring (Cayman) Ltd.

May I ask how you know it's £61.17 per share and payable on the 11th March?

It is a final distribution prior to the liquidator being appointed, with sufficient cash left to pay the liquidators fees and any surplus going to charity.

Thanks flyfisher. My shares were never delivered so I guess my broker has a claim against the marketmaker. I assume that the £61.17 is the first, final and only distribution by the liquidator?

Over a year since the last communication, and they gave 18 months as the IRS timescale, so i expect an update within the next few months.

Crystal Amber have a holding in leaf.

It is carried in their monthly NAV estimate at £62 p/s, being the directors estimate of what they would receive from a successful receipt of the leaf tax refund and subsequent liquidation.

They seem fairly certain of a positive outcome.

Good news then. If we had 30,000 shares then by my calculations 99.68% of them were cancelled in the distribution when they went from 34,943,699 down to 145,611 in issue. The lucky Dutchman managed to scoop up almost half of them somehow.

However if you had 30,000 shares then you should still have 0.328% of them left which is 98 shares. The full $8.5m (if they get it all back) divided by the 114,611 is about $74 per share so a 30K share holding pre-redemption would be worth 98x74=$7250 ?

Seems a bit high actually so I may have got the numbers wrong.

Company has filed for a tax refund of $8.5m, IRS have 18 months to review, next communication likely to be in 2021. No certainty of the outcome.

Announcement LEAF is being delisted from AIM on 31 January, and its share price rises 9% on the day.

...Yes, I missed that, my broker's corporate action notices are rather late for Leaf.

Cancellation now 7am, 31 January 2020. Closed up 23% today.
