LAVENDON GROUP PLC ("Lavendon" or "Company")

APPLICATION FOR ADMISSION

Lavendon announces that in order to satisfy the exercise of share options granted pursuant to the Lavendon Group plc 2006 Long Term Incentive Plan, the Lavendon Group plc 2015 Long Term Incentive Plan and the Lavendon Group plc Deferred Share Bonus Plan (the "Lavendon Share Schemes"), the Company has issued and allotted 2,404,794 ordinary shares of one penny each in the capital of the Company ("Ordinary Shares"). Application has been made for a total of 2,404,794 new Ordinary Shares issued pursuant to the Lavendon Share Schemes to be admitted to the Official List of the UKLA and to trading on the London Stock Exchange's main market for listed securities ("Admission"). Admission is expected to take place on 9 March 2017.

Subsequent to this allotment, the total number of Ordinary Shares of the Company in issue as at the date of this announcement is 172,406,970 with each Ordinary Share carrying the right to one vote. There are no Ordinary Shares held in treasury. The total number of voting rights in the Company is therefore 172,406,970.

The above figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in Lavendon under the Disclosure and Transparency Rules.
