                                 RESULTS OF EGM


Inveresk PLC ("Inveresk") announces that all the resolutions proposed at the EGM
today were passed. Accordingly, Inveresk will issue 20,000,000 new ordinary
shares of 1p each at a price of 10p per share, as well as entering into an
unsecured loan of #2,200,000.

Inveresk has applied to have its enlarged issued share capital admitted to AIM
at 8.00am on 23 January 2003.
