Under the Arrangement, holders of Afferro Shares will receive consideration (the “Consideration”) to be satisfied by £1.20 per Afferro Share:
• £0.80 in cash, plus
• A 2-year unsecured convertible note issued by IMIC (the “Convertible Note”) with principal amount of £0.40, carrying simple annual interest of 8% payable at maturity and having a conversion right described in the accompanying Information Circular.

IMIC has also agreed to purchase, in cash, all of the currently issued and outstanding Afferro stock options (“Afferro Options”) for (i) in respect of each Afferro Option that is “in the money” on the Effective Date (as defined below), an amount equal to the difference between: (A) £1.20; and (B) the exercise price of such Afferro Option (the exercise price of such Afferro Option being converted from Canadian dollars if necessary on the basis of the Bank of Canada noon exchange rate three (3) Business Days prior to the Effective Date); and (ii) in respect of each Afferro Option that is “out of the money” on the Effective Date, nil.

As I see it this a different company doing business as mortgage broker.
WOULD like also to know what happened with Imic plc. The administration process has been terminated, I guess they have in the meanwhile liquidated the company. Wonder if they have obtained some proceeds and how they will pay them out.

There seems to have been a development. IMIC registered office is now in Birmingham with a restructuring company. I plan to contact them and find out what is going on. Have the mining rights been sold? Anyone know?

Just a few quid short then? lol

....and there was me booking a summer holiday on the dividend proceeds :)

Whole thing was a sham from the minute Affero directors insisted in being paid cash not shares

Thanks speedsgh - looks a dividend could be on the way if they get the value that the assets are worth.

Fingers crossed they do and we can all have a get together and put this behind us.

The first round will be on Parthus!

Everyone knows there's not a mog's chance in hell of any dividend, however small.
The company is hundreds of millions in debt with virtually no assets.
Hopefully the extension is only to give the administrators a chance to make a case for putting the past directors in jail.

deltrotter knows this, so his sentiments go with crocodile tears.

Don't waste your breath.

Former IMIC adviser, Claude Gueant, has been stripped of his French "knighthood" and "OBE" equivalent. Embezzlement; who'd have guessed it?

"SIM –Société Internationale Métallique (Canada) Ltée(“SIM”) -£1,325,904 As per the previous progress report, SIM have informed the Joint Administrators that they are not currently in a position to repay the outstanding amount, but they anticipate raising additional capital in the medium term following which they will submit a proposal to the Joint Administrators for their consideration. The proposal is still yet to be received.

Investigation

Part of my duties include carrying out proportionate investigations into what assets the Company has, including any potential claims against directors or other parties, and what recoveries could be made. I have reviewed the Company’s books and records and accounting information, requested further information from the directors, and invited creditors to provide information on any concerns they have regarding the way in which the Company’s business has been conducted.I can confirm that no further investigations or actions were required."

Looks like IMIC has joined Afren and Gasol in the list of UK companies that no longer provide the Cooper family with a supply of ready cash, which is punishment enough I suppose.

Interesting times for IMIC administrator. Bearing in mind that the Libyan Foreign Bank is in charge here (the civil war has flared up again) and that IMIC had associates of the Ablyazov crime syndicate on board, if not on the board, (associated in the press with Trump's properties in NY) they must be treading on a lot of political eggshells.
